Illustrative, general educational examples — not real specific facts and not legal advice; for awareness only. For an actual situation, consult a licensed lawyer.
Under the Company Law (revised 2023) and Market Supervision Administration regulations: the mandatory annual report (年报) includes: (1) basic financial data; (2) shareholder information and capital structure; (3) contact information and address; (4) list of company products and services. Submission period: January 1 - June 30 of each year via the official electronic platform (National Enterprise Credit Information Publicity System). Late filing penalty: fines + company placement on the list of suspicious companies (restricting some business activities). Repeated non-compliance penalty: business license cancellation. Signature: must be signed by the legal representative or authorized person.
🎓 The lesson / takeaway
Set a reminder every January to submit the annual report. Working with a licensed Chinese accountant facilitates compliance and saves you from fines.
